We reserve the right to pursue all remedies available to us in cases of disputed or fraudulent payments.
• No Guarantees or Promises: Modern Tech Media, LLC makes no warranties, promises, or guarantees—express or implied—regarding outcomes, business results, merchantability, fitness for a particular purpose, or uninterrupted, error-free performance. All products and services are provided “as is” and “as available.”

3. Warranties, Limitations, and Use of AI & Third-Party Tools

• AS-IS & Warranty Disclaimer: All deliverables, websites, software, and systems are provided “AS IS” and without any warranty of any kind, express or implied. This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, security, accuracy, or error-free operation.
• AI and Open Source Use: You acknowledge and agree that Modern Tech Media, LLC may use artificial intelligence (“AI”) tools, open-source code, and third-party libraries. While we review, test, and modify such code, we make no warranty as to originality, accuracy, completeness, or non-infringement of any AI-generated or third-party code. Deliverables may incorporate third-party or open-source licenses, which you accept as a condition of use.
• No Guarantee of Perfection: No website, software, or system can be guaranteed 100% secure or free of all bugs, errors, or vulnerabilities. We follow best practices but cannot guarantee absolute security or uninterrupted, error-free performance.
• Client Responsibilities: You are responsible for reviewing, testing, and approving all deliverables prior to production use, and for ongoing legal compliance, security updates, and regulatory adherence after delivery. You accept full responsibility for how deliverables are used and compliance with all applicable laws (including accessibility, privacy, data protection, sales tax, shipping, and other regulations).

• Damages & Liability Cap: In no event shall Modern Tech Media, LLC be liable to you or any third party for any damages whatsoever, including but not limited to direct, indirect, incidental, consequential, special, exemplary, or punitive damages, even if advised of the possibility. Our total maximum liability shall be limited to the total fees actually paid by you for the project.
• Indemnification: You agree to indemnify, defend, and hold Modern Tech Media, LLC harmless from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising out of or related to:
  • (a) your use or misuse of the deliverables,
  • (b) content, data, or materials provided by you,

  • (e) any claim of infringement or license violation related to open-source or AI-generated code.

5. Intellectual Property and Data

• Ownership: Modern Tech Media, LLC retains copyright ownership of the assembled work produced in this Project, except for content/materials you supply. We reserve the right to use completed work in our portfolio, marketing materials, or for other promotional purposes unless otherwise agreed in writing.
